Bylaws of the IAWA

ARTICLE ONE - ORGANIZATION
1.0 The name of the organization shall be: International Archive of Women in Architecture (hereinafter referred to as IAWA). The IAWA shall be located in the University Libraries Special Collections Department at Virginia Polytechnic Institute and State University (hereinafter referred to as Virginia Tech) Blacksburg, Virginia USA. The IAWA is the joint commitment of the University Libraries and the College of Architecture and Urban Studies at Virginia Tech. (See Addendum)
ARTICLE TWO - PURPOSE
2.0 The following are the purposes for which this organization has been formed:
 
2.0.1 to find and preserve the records of the pioneer generation of women architects whose papers may be lost or dispersed if not collected immediately;
2.0.2 to appeal to retired women architects who have played a part in architectural history to donate their papers to the IAWA;
2.0.3 to appeal to active women architects to save their papers and to consider donating them to the IAWA at a later date;
2.0.4 to serve as a clearinghouse of information on all women architects, past and present, and to encourage research on the history of women in architecture through seminars, exhibits, and publications; and
2.0.5 to foster cooperation between all libraries or archives containing data on, or collecting material on, women in architecture.
2.1 The IAWA collection shall remain intact and never separated from Virginia Tech.
ARTICLE THREE - BOARD OF ADVISORS AND FRIENDS OF THE IAWA
3.0 BOARD OF ADVISORS
The Board of Advisors shall be advisory to the University Libraries Special Collections Department at Virginia Tech, and shall establish policy for Friends of the IAWA.
 
3.0.1It is the intent of the IAWA to have an international representation on the Board of Advisors. The Board of Advisors shall consist of no more than seventeen (17) and no less than twelve (12) elected Advisors who have voting status. A maximum of five (5) Advisors who have voting status shall be drawn from the faculty and staff of Virginia Tech. Four (4) ex-officio Advisors with non-voting status shall be: the Dean of Libraries, the Archivist employed by the Virginia Tech University Libraries, the Dean of the College of Architecture and Urban Studies, and the Head of the Department of Architecture in the College of Architecture and Urban Studies
3.0.2 The Board of Advisors may bestow the status of "Emeritus" upon a previous Advisor.
3.0.3The Board of Advisors may bestow the status of "Honorary Advisor" upon anyone who may serve the IAWA, but is not an elected Advisor.
3.1 CRITERIA FOR ELECTION TO THE BOARD OF ADVISORS
Candidates for election to the Board of Advisors shall have demonstrated an interest in the subject matter of the IAWA collection and shall be one of the following:
 
3.1.1 noted architects and those in related fields, or who are or have been practitioners;
3.1.2 noted teachers, scholars or writers in architecture or related fields; and
3.1.3 noted individuals involved in research, organizations, archives, libraries or special collections whose subject matter is architecture or related fields.
3.2 PROCESS FOR ELECTION TO THE BOARD OF ADVISORS
The Nominating Committee shall recommend candidates for election to the Board of Advisors and shall certify newly elected Advisors according to the following actions:
 
3.2.1 the Nominating Committee Chair shall receive nominations and shall circulate these to members of the Committee;
3.2.2 the Nominating Committee shall recommend a sufficient number of candidates to fill vacancies on the Board of Advisors;
3.2.3 information on candidates and ballots shall be circulated to voting Advisors at least twelve (12) weeks prior to the Annual Meeting;
3.2.4 the Board of Advisors shall be given two (2) weeks to return ballots to the Nominating Committee; and
3.2.5 the Nominating Committee shall certify election to the Chair of the Board.
3.3 TERM OF OFFICE ON THE BOARD OF ADVISORS
 
3.3.1 Each term of office on the Board of Advisors shall be three (3) years. An Advisor may be re-elected and serve consecutive terms. The terms of office of the Board of Advisors shall be staggered.
3.3.2 If an Advisor resigns from the Board prior to expiration of a term, a new Advisor may be elected to complete the remainder of the term. Such an election shall be conducted according to the conditions and process outlined in Article Three.
3.3.3 Newly elected Advisors shall be invited to take their seats and begin their term of office at the Annual Meeting.
3.4 DUTIES OF THE BOARD OF ADVISORS
It shall be the duty of the Board of Advisors to:
 
3.4.1 act as the guardians of the IAWA;
3.4.2 establish goals and directions for the development and preservation of the IAWA;
3.4.3 appeal to retired and active women in architecture to donate their work;
3.4.4 initiate and participate in public relations for the promotion of the IAWA;
3.4.5 review the progress of the IAWA and its content;
3.4.6 participate in the Annual Meeting of the IAWA;
3.4.7 evaluate the appropriateness of a collection for the IAWA; and
3.4.8 raise funds to support activities of the IAWA.
3.5 FRIENDS OF IAWA
 
3.5.1 Friends of the IAWA shall consist of individuals or institutions who contribute to the IAWA, including annual donations, monetary gifts or the donation of artifacts attributable to women architects' work, through a "deed of gift" to Virginia Tech.
3.5.2 The Board of Advisors may bestow the status of "lifetime" upon a Friend of the IAWA in recognition of an extraordinary and exceptional contribution or donation.
ARTICLE FOUR - OFFICERS
4.0 At the Annual Meeting, the Board of Advisors shall elect from amongst themselves the following officers: the Chair, the Secretary, and the Treasurer.
4.1 DUTIES OF OFFICERS
It shall be the responsibility of the Chair to:
 
4.1.1 call at least one meeting per annum;
4.1.2 set the agenda for all meetings;
4.1.3 preside at the Annual Meeting;
4.1.4 call meetings of the Executive Committee as necessary; and
4.1.5 oversee the following activities of the Board of Advisors:
 
4.1.5.a promote and advertise the IAWA through publications, exhibits and correspondence with researchers, friends and pertinent organizations;
4.1.5.b organize conferences, seminars, symposia and other promotional activities by and about women architects;
4.1.5.c initiate outreach and fund-raising programs and coordinate with the Office of Development and University Relations, Virginia Tech;
4.1.5.d identify sources for grants and write grant proposals in coordination with the Research Division, Virginia Tech;
4.1.5.e identify and induce potential donors to participate in the IAWA;
4.1.5.f initiate and coordinate public relations activities for the IAWA; and
4.1.5.g respond to inquiries about the Archive.
4.2 It shall be the duty of the Secretary to:
 
4.2.1 take minutes at Annual Meetings of the Board of Advisors and all meetings of the Executive Committee;
4.2.2 maintain a record of policy decisions;
4.2.3 maintain the record of the Board of Advisors' names and terms of office since inception;
4.2.4 maintain the record of all minutes and transactions of the Board of Advisors and Executive Committee; and
4.2.5 serve on the Nominating Committee.
4.3 It shall be the duty of the Treasurer to:
 
4.3.1 report on finances, including the Development Account; and
4.3.2 acknowledge monetary contribution to the IAWA and inform the Executive Committee of such contributions.
ARTICLE FIVE - MEETINGS
5.0 BOARD OF ADVISORS
There shall be an Annual Meeting of the Board of Advisors of the IAWA. It shall occur within the last quarter of the operating year which coincides with the calendar year.
5.1 EXECUTIVE COMMITTEE
Regular meetings of the Executive Committee shall be held at least quarterly.
ARTICLE SIX - EXECUTIVE COMMITTEE
6.0 The Executive Committee shall be composed of the officers, the Archivist and at least two (2) but not more than four (4) Advisors chosen by the officers.
6.1 DUTIES OF THE EXECUTIVE COMMITTEE
The Executive Committee shall conduct the business of the IAWA between Annual Meetings.
6.2 DUTIES OF THE ARCHIVIST
It shall be the duty of the Archivist to receive, accession, organize, preserve, store, and make accessible the materials that comprise the IAWA.
ARTICLE SEVEN - COMMITTEES
7.0 NOMINATING COMMITTEE
A Nominating Committee shall be appointed at every Annual Meeting by the Chair of the Board of Advisors, and shall be comprised of the Secretary and at least one other member of the Executive Committee. The Nominating Committee shall act according to the conditions and process stated in Article Three.
ARTICLE EIGHT - PARLIAMENTARY AUTHORITY
8.0 The rules contained in Robert's Rules of Order (latest edition) shall govern the IAWA in all cases to which they are applicable, and in which they are not inconsistent with the Bylaws or the special rules of order of this organization.
ARTICLE NINE - METHOD OF AMENDING THE BYLAWS
9.0 Any article of these Bylaws may be amended, revised, or repealed, and new articles or sections may be adopted by a two-thirds vote of the Board of Advisors at the Annual Meeting. At least eight (8) weeks' notice of the proposed change shall be given in writing to all Advisors. Absentee ballot or proxy must be received prior to the Annual Meeting.

Addendum to IAWA Bylaws - revised edition 7/97

AGREEMENT ON SUPPORT
FOR THE
INTERNATIONAL ARCHIVE OF WOMEN IN ARCHITECTURE

by the

University Libraries and the College of Architecture and Urban Studies

University Libraries:

  1. Receive materials
    1. Reimburse mailing cost
    2. Provide the donor with a detailed inventory (i.e. catalog)
  2. Organize and catalog collections
  3. Maintain an updated guide to the collections
  4. Acquire books and articles on women in design professions
  5. Maintain a bibliography on women in design professions
  6. Provide reference service
  7. Publish information about IAWA
  8. Correspond with potential donors
  9. Contribute to IAWA Newsletter

All of the above will be done by Special Collections personnel

  1. Mail Newsletter to Board members, donors, potential donors, friends, libraries, etc. (about 1,000 copies annually)
  2. Mail Minutes to Board members

Above will be done by staff in the office of the University Librarian

College of Architecture and Urban Studies:

  1. Write, edit and publish the IAWA Newsletter and Brochure
  2. Research and Locate pioneering women in architecture
  3. Actively seek new donors
  4. Correspond with new donors and with the Friends of the Archive
  5. Seek funds for special events
  6. Organize special events: exhibitions, symposia and lectures by and about women architects,
  7. Call annual Board meetings and prepare annual reports
  8. Call Executive Committee meetings

University Libraries and College:

  1. Assemble, manage and circulate exhibitions of archival materials
  2. Compose publications about IAWA
  3. Print the IAWA letterhead
